Terms of Service

1. Acceptance of Terms

By accessing or using Citeda ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old or the age of majority in your jurisdiction to use the Service.

2. Description of Service

Citeda provides AI visibility analytics — a simulation-based tool that analyzes how AI search platforms (such as ChatGPT, Gemini, and others) may reference or mention your brand, content, or website. The Service includes visibility analysis, optimization recommendations, and related reports.

All analysis results are simulations and do not represent actual AI engine behavior. Results are for informational purposes only.

3. Accounts

You must create an account to use the Service. You are responsible for maintaining the security of your account credentials and for all activity under your account. You agree to provide accurate information and to notify us promptly of any unauthorized access.

4. Subscription Plans and Payment

  • The Service offers Free and Paid plans with varying features and limits.
  • Payments are processed by Lemon Squeezy, a third-party payment processor. By subscribing, you also agree to their terms.
  • Paid subscriptions automatically renew unless canceled before the end of the billing period.
  • We may change pricing with at least 30 days' notice. Continued use after the change constitutes acceptance.
  • You are responsible for any applicable taxes.
  • Refunds are handled on a case-by-case basis at our discretion.

5. Acceptable Use

You agree not to:

  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Circumvent rate limits, usage caps, or other technical restrictions.
  • Use the Service to develop a competing product.
  • Use the Service for any illegal purpose or in violation of any applicable law.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Impersonate any person or entity or misrepresent your affiliation.

6. Intellectual Property

  • Citeda owns the Service, software, branding, documentation, and all related intellectual property.
  • You own the data you provide (brand names, URLs, queries) and your analysis results.
  • You grant Citeda a limited license to process your data solely to provide the Service.
  • We may use aggregated, de-identified data to improve the Service.
  • Any feedback or suggestions you provide may be used by Citeda without obligation to you.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CITEDA DOES NOT WARRANT THAT ANALYSIS RESULTS WILL BE ACCURATE, COMPLETE, OR RELIABLE. ALL RESULTS ARE SIMULATION-BASED ESTIMATES AND SHOULD NOT BE RELIED UPON AS REPRESENTATIONS OF ACTUAL AI ENGINE BEHAVIOR.

CITEDA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CITEDA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

CITEDA'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO CITEDA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless Citeda and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

10. Dispute Resolution and Arbitration

Please read this section carefully — it affects your legal rights.

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware, USA.

CLASS ACTION WAIVER: YOU AND CITEDA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

30-Day Opt-Out: You may opt out of this arbitration clause by sending written notice to legal@citeda.com within 30 days of first accepting these Terms.

Exceptions: Either party may bring claims in small claims court or seek injunctive relief for intellectual property violations in any court of competent jurisdiction.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

12. Termination

  • You may terminate your account at any time from your account settings.
  • We may suspend or terminate your access for violation of these Terms or for any reason with reasonable notice.
  • Upon termination, your right to use the Service ceases. You may export your data within 30 days of termination.
  • Sections 6–11 survive termination.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance. If you disagree, you may terminate your account.

14. General

  • Entire Agreement: These Terms constitute the entire agreement between you and Citeda regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • No Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms. Citeda may assign them in connection with a merger or acquisition.
  • Force Majeure: Neither party is liable for delays caused by events beyond reasonable control.
